SIVA Capital grew out of a senior advisory practice that has operated continuously since 2011 — originally established as Bulbulyan Consulting Group and rebranded to SIVA Enterprises. That practice did not close. It evolved.

Today the advisory division operates alongside the firm’s private equity work as a select practice — one that engages where deep market knowledge, trusted relationships, and tested judgment are what the situation requires.

That operating history — spanning cannabis markets across the country, appointed government roles, expert witness engagements in federal and state court cases, and senior advisory mandates — is not incidental to SIVA Capital’s investment thesis. It is how the thesis was built.

01 — M&A & Transactions
Strategic guidance through acquisitions, divestitures, turnarounds, capital formation, and complex transactions in regulated industries. Target evaluation, diligence support, and operational repositioning for buyers, sellers, and distressed operators where regulatory risk is a primary variable — and where market access matters as much as deal mechanics.
02 — Board & Advisory Appointments
Advisory board and director appointments for companies operating in regulated markets. Engagements involve governance support, strategic counsel, and independent judgment at the ownership and leadership level — particularly during capital events, operational transitions, and periods of regulatory complexity.
03 — Expert Witness & Litigation Support
Industry analysis, regulatory interpretation, damages assessment, and expert testimony for attorneys and legal teams. Retained in federal and state court matters involving trademark disputes, insurance valuation, tax proceedings, and licensing conflicts. Also engaged by court-appointed receivers for operational and strategic support.

Senior counsel for operators, investors, and boards facing high-stakes decisions in complex, regulated markets. Market entry, competitive positioning, operational restructuring, and turnaround strategy. Engagements where independent judgment — not consensus — is what the situation requires.

Regulatory policy and government relations consulting. Engagements include working directly with elected officials and their staff, serving as subject matter expert to lobbying firms active in regulated industries, advising state agencies, and testifying before regulatory bodies at the request of senior government officials. This work is conducted as an independent consultant — bringing substantive expertise and direct relationships to navigating regulatory and legislative environments across regulated markets nationally.

Complex multi-party situations, public-facing crises, and matters requiring discretion, speed, and steady judgment under pressure. SIVA accepts a limited number of advisory engagements each year. Inquiries are reviewed and responded to personally. Engagements that move forward are handled at the senior level — not delegated.

What we take: situations where the outcome depends on knowing the market from the inside, where the advisor’s credibility with the relevant stakeholders matters, and where independent judgment is more valuable than a familiar framework.
